Authorized Resale Policy

1. Scope & Applicability
This Authorized Resale Policy (“Policy”) governs the distribution, recommendation, and resale of dietary supplements and related products bearing the trademark and brand name Axivion Nutrition® (collectively, “Axivion Nutrition Products”).
This Policy applies exclusively to products marketed and distributed under the Axivion Nutrition brand. It does not extend to separate product lines or independent commercial brands that may be affiliated with or manufactured by third-party entities.
2. Practitioner-Only Exclusivity
Axivion Nutrition Products are offered through a controlled, practitioner-exclusive distribution model designed to support professional guidance and responsible product access.
Purchasing and authorized resale rights are restricted to Authorized Practitioners.
An “Authorized Practitioner” is a verified healthcare professional or licensed practitioner operating in the United States whose professional credentials and scope of practice permit the recommendation, dispensing, or sale of dietary supplements, as applicable, and whose account has been approved by Axivion Nutrition.
Eligibility may vary depending on applicable federal and state requirements and the practitioner’s professional scope of practice.
Axivion Nutrition reserves the right to verify credentials and to approve, deny, suspend, or terminate practitioner access at its discretion, subject to applicable law.
3. Permitted Sales Channels
Authorized Practitioners are granted a non-exclusive, non-transferable, revocable authorization to distribute Axivion Nutrition Products only through approved channels, including:
- Direct In-Office Dispensing: Physical sale or dispensing directly to patients or clients in connection with the practitioner’s practice, where permitted by applicable law.
- Closed Patient Portals: Private, authenticated e-commerce platforms or electronic dispensaries accessible only to customers who have received authorized access through an Authorized Practitioner.
Axivion Nutrition may establish additional reasonable channel requirements to preserve product integrity, customer experience, and the controlled nature of the brand.
4. Strict Prohibition on Public Online Sales & Marketplaces
To preserve the integrity of the Axivion Nutrition brand and its practitioner-exclusive distribution model, public retail and unauthorized digital distribution are prohibited.
Authorized Practitioners and other authorized parties may not:
- Sell, advertise, list, or distribute Axivion Nutrition Products through third-party online marketplaces, including but not limited to Amazon, eBay, Walmart Marketplace, Target.com, TikTok Shop, or Facebook Marketplace.
- Sell Axivion Nutrition Products through public-facing, unauthenticated e-commerce websites that permit unrestricted public purchasing.
- Transfer or sell Axivion Nutrition Products to wholesalers, re-distributors, brokers, or other parties for unauthorized resale.
- Permit unauthorized third parties to use Axivion Nutrition trademarks, product imagery, brand assets, or other proprietary materials in connection with unauthorized sales.
5. Product Quality Control & Brand Integrity
To protect product integrity and maintain appropriate handling standards, Authorized Practitioners must adhere to the following requirements:
- Storage & Handling: Products must be stored and handled in accordance with applicable product labeling and storage requirements.
- Original Packaging: Products must be sold or dispensed in their original, unopened packaging, with applicable safety seals, lot numbers, and expiration dates intact.
- No Unauthorized Alteration: Authorized Practitioners may not relabel, repackage, modify, adulterate, or otherwise alter Axivion Nutrition Products or their packaging without prior written authorization from Axivion Nutrition and compliance with applicable law.
- Record & Channel Verification: Axivion Nutrition may request reasonable documentation concerning inventory, authorized sales channels, and product destinations when necessary to verify compliance with this Policy.
6. Enforcement & Account Termination
Axivion Nutrition actively monitors digital channels and public marketplaces for unauthorized sales and unauthorized use of its brand.
Failure to comply with this Policy may result in disciplinary or contractual action, including:
- Cancellation or suspension of pending orders;
- Suspension or termination of purchasing privileges;
- Permanent revocation of practitioner account access;
- Removal of authorization to use Axivion Nutrition brand assets; and
- Pursuit of available legal or equitable remedies, including damages, injunctive relief, or recovery of legal fees to the extent permitted by applicable law and any applicable agreement.
Nothing in this Policy limits any other rights or remedies available to Axivion Nutrition under applicable law or contract.
